Regarding Nippon Steels plan to acquire US Steel, US Secretary of Commerce Gina Raimondo posted on social media that the US government could restrict the deal using a golden share it holds.

It explains that, among other things, the headquarters cannot be relocated, the company name cannot be changed, and steel production cannot be moved outside the United States without the presidents approval.

Nippon Steel announced on the 14th that, regarding its plan to acquire US steel giant US Steel, it had entered into a national security agreement with the US government and received approval for the partnership between the two companies from President Trump.

The agreement includes provisions such as the U.S. government holding a special type of stock called a golden share, which allows it to exercise veto power over important management decisions at U.S. Steel.

On the 14th, Secretary of Commerce Ratnick posted on social media about this, stating that with a golden share, it is possible to restrict such actions, and that the company headquarters cannot be moved from Pittsburgh, Pennsylvania, nor can the company name be changed, without the consent of the president or their representative.

Furthermore, it states that they can also refuse to reduce or postpone investments of $14 billion approximately 2 trillion yen in US Steels facilities, as well as the transfer of steel production and employment outside the United States.

It will be a challenge for Nippon Steel to generate returns that match its massive investment, given that the U.S. government is expected to have strong influence over the management of U.S. Steel.

United Steelworkers Union: Disappointed by President Trumps Approval of the Plan Following President Trumps approval of Nippon Steels acquisition of US Steel, USW United Steelworkers Chairman McCall issued a statement on the 14th.

Im disappointed that President Trump changed his policy and approved the plan.

Entrusting a core American industry to Nippon Steel, which has violated U.S. trade laws for many years and taken away jobs, would undoubtedly threaten the national and economic security of the United States.

On top of that, they indicated their intention to hold discussions with the company to ensure that Nippon Steel’s commitments regarding investment in US Steel and the maintenance of employment are reliably carried out.

USW has consistently expressed opposition to this acquisition plan since it was announced in December 2023.
